Terms of Service

Effective October 6, 2026

Welcome to Sky EKO. These Terms are an agreement between you and Sky EKO LLC, a Florida limited liability company ("Sky EKO", "we", "us"). They cover your use of skyeko.com, the Sky EKO apps and related services (together, "Sky EKO"). By creating an account or using Sky EKO, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Sky EKO.

1. What Sky EKO is

Sky EKO is a platform where artists find and book studios and music professionals, and where studio owners and pros ("hosts") list their rooms and services. Unless a feature clearly says otherwise, the sessions and services themselves are provided by hosts, not by Sky EKO. Sky EKO is not a party to the creative or professional work between members.

Some features are still being built. We'll publish additional terms, such as booking, payment and host terms, before they apply to you.

2. Your account

• You must be at least 18 and able to enter a binding contract.
• Give accurate information and keep it up to date.
• Keep your sign-in secure. You are responsible for activity on your account, so tell us right away at privacy@skyeko.com if you think someone else has accessed it.
• One person per personal account. If you act for a studio or company, you confirm you're allowed to bind it.

3. Your music and content stay yours

You keep all rights in the music, recordings, photos, listings, messages, reviews and other content you upload or create ("your content"). To run Sky EKO, you give us a worldwide, non-exclusive, royalty-free license to host, store, copy, display and transmit your content only as needed to operate, improve and promote Sky EKO. For example, we can show your public listing in search results.

This license ends when you delete the content or your account. It doesn't end for copies others already received from you, such as messages, or for anything we must keep by law. We never claim ownership of your music, and we never sell it.

You confirm you have the rights to the content you post, and that posting it doesn't infringe anyone else's rights.

4. Bookings between members

• Listings, prices, availability and cancellation policies are set by hosts, who are responsible for their accuracy.
• A booking is an agreement between the artist and the host on the terms shown when it is confirmed, including the cancellation policy.
• Hosts are responsible for their spaces, equipment, licenses, insurance, taxes and the safety of their sessions. Artists are responsible for how they treat the space and equipment they book.
• When payments are available, they are processed by our payment partner, and the fees, deposits and refund rules will be shown to you before you pay.

5. Reviews

Reviews must reflect a real, completed experience. Don't offer or accept anything in exchange for a review, and don't review yourself or a competitor. We may remove reviews that break these Terms. We don't edit reviews to change their meaning.

6. Things you must not do

Don't:

• break the law, or infringe anyone's copyright, trademark, privacy or other rights;
• post false, misleading, hateful, harassing, sexually explicit or violent content;
• arrange payments outside Sky EKO for bookings made through Sky EKO, once payments are available;
• scrape, copy or resell Sky EKO data, or access Sky EKO by automated means without our written permission;
• interfere with, test or bypass Sky EKO's security, or use another person's account;
• create accounts to mislead others, or after we've suspended you.

7. Sky EKO's property

Sky EKO, its name, logo, design, software and content (other than your content and other members' content) belong to Sky EKO LLC and its licensors. These Terms don't give you any rights in them except the right to use Sky EKO as intended.

8. Fees

Creating an account is free. If we charge fees, for example a service fee on bookings, we'll show them clearly before you commit, and you agree to pay the fees shown.

9. Ending your account

You can stop using Sky EKO at any time, and you can delete your account by writing to privacy@skyeko.com (in-app deletion is coming soon). We may suspend or close accounts that break these Terms, put others at risk, or where the law requires it. Where reasonable, we'll tell you why and give you a chance to respond. Sections 3 (for content already shared), 7, 10, 11, 12 and 13 continue after your account ends.

10. Disclaimers

Sky EKO is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We don't guarantee that Sky EKO will be uninterrupted or error-free, or the quality, safety or legality of any listing, session, service or member.

11. Limitation of liability

To the fullest extent the law allows:

• Sky EKO LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or opportunities.
• Our total liability for any claim relating to Sky EKO is limited to the greater of the fees you paid to Sky EKO in the 12 months before the claim, or US $100.

Some places don't allow these limits, so they may not fully apply to you.

12. Indemnity

You agree to defend and hold harmless Sky EKO LLC and its members, managers and contractors from claims arising out of your content, your use of Sky EKO, your bookings or services, or your breach of these Terms or the law.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida and applicable US federal law, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Florida, and you and Sky EKO consent to their jurisdiction. Before filing a claim, please contact us at privacy@skyeko.com so we can try to resolve it informally within 30 days. If you are a consumer, nothing here removes rights you have under the mandatory laws of the country where you live.

14. Changes to these Terms

We may update these Terms as Sky EKO grows. For important changes, we'll notify you by email or in the app at least 14 days before they take effect. If you keep using Sky EKO after that, you accept the new Terms.

15. General

• These Terms and the policies they mention are the whole agreement between you and Sky EKO about Sky EKO.
• If a part of these Terms can't be enforced, the rest still applies.
• If we don't enforce a right, we haven't waived it.
• You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
